1. Introduction

Welcome to Emek PR & Strategies ("we," "our," or "the Company"). These Terms and Conditions ("Terms") govern your access to and use of our services, including but not limited to strategic communications, media relations, digital marketing, event management, and related consultancy services (collectively, "Services").
By engaging with our Services, you ("Client," "you") agree to be legally bound by these Terms.

2. Scope of Services

We provide professional public relations, communications strategy, marketing, and media consultancy services.

  • All services are outlined in the relevant service agreement, proposal, or contract.

  • We reserve the right to update or modify service offerings without prior notice.

  • Additional services outside the agreed scope may incur separate fees.

3. Client Responsibilities

To ensure the effective delivery of our Services, the Client agrees to:

  • Provide accurate and complete information required to execute strategies and campaigns.

  • Collaborate in a timely manner, including approvals, feedback, and content provision.

  • Comply with applicable laws and regulations in relation to the content provided.

The Company shall not be held liable for delays or deficiencies caused by incomplete, inaccurate, or late information provided by the Client.

4. Fees & Payments

  • All service fees are defined in the service agreement or invoice.

  • Payments must be made in accordance with the agreed timeline.

  • Delayed payments may result in suspension of services.

  • Fees are non-refundable unless otherwise specified in writing.

  • In the event of early termination, the Client remains responsible for outstanding payments and any non-cancellable costs incurred.

5. Intellectual Property

  • All original materials, strategies, campaign plans, and deliverables created by Emek PR & Strategies remain the intellectual property of the Company unless otherwise agreed in writing.

  • Upon full payment, the Client may receive a limited, non-transferable license to use agreed deliverables.

  • Unauthorized reproduction, distribution, or modification of materials is strictly prohibited.

6. Confidentiality

  • Both parties agree to keep all non-public information strictly confidential.

  • Confidential information may only be shared with third parties with prior written consent.

  • This clause survives termination of the agreement.

7. Media Relations & Third-Party Platforms

  • Media placements, publications, and external collaborations are subject to the editorial policies and discretion of third-party platforms.

  • While we strive to achieve the best possible outcomes, the Company cannot guarantee specific media coverage, publication dates, or editorial control.

  • The Client acknowledges that media results are influenced by external factors beyond the Company's control.

8. Limitation of Liability

  • The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of its Services.

  • Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

  • We do not assume responsibility for third-party actions or outcomes.

9. Indemnification

The Client agrees to indemnify and hold Emek PR & Strategies, its employees, and partners harmless against any claims, losses, or damages arising from:

  • Content provided by the Client;

  • Breach of these Terms;

  • Actions or omissions of the Client during campaigns or engagements.

10. Termination

  • Either party may terminate the agreement with written notice, subject to the terms outlined in the specific service contract.

  • All outstanding fees and costs must be settled upon termination.

  • Any obligations regarding confidentiality, intellectual property, and payments survive termination.

11. Force Majeure

The Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, acts of government, labor disputes, or technical failures.

12. Governing Law & Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of [Republic of Turkey] unless otherwise agreed in writing. Any disputes shall be resolved before the competent courts of [Istanbul, Turkey].

13. Amendments

We reserve the right to modify these Terms at any time. Updated versions will be published on our official communication channels and become effective immediately upon posting.
